Fixed term and flexible scheduling
The selected 3-, 6-, or 12-month term begins and ends on the dates stated in the signed agreement. Delivery dates, frequency, destinations, and volume may vary. A forecast is not a purchase minimum unless a signed rate or capacity schedule expressly creates one.
Eligible monthly recurring deliveries receive the accepted 15% discount during active contract dates. Contractor, job-site, event, and specialized work remains quote-based. The signed rate schedule controls approved service, mileage, load, handling, discount, tax, and extras for the term.
Individual deliveries and monthly invoices
Each delivery still requires accurate order details, route verification, item eligibility, capacity, price, and dispatch confirmation. Flexible order cancellation does not cancel the fixed-term contract.
Monthly billing groups approved delivery charges by scheduled month. Payment is due on the first day of the month; later-added deliveries are due on receipt. A due notice links to the itemized invoice. No automatic debit or net terms apply unless separately approved and authorized.
Contract termination and renewal
Client-requested early contract termination, including dissatisfaction, has a fee equal to 15% of the agreed three-month reference service value for every term length. Monthly reference × 3 × 15% determines the disclosed fee. The reference and exact fee must be completed and accepted before signing.
No early-termination fee applies at normal expiration, for an uncured material Peyelis breach, or where law requires a different remedy. Renewal requires new written acceptance; there is no automatic renewal or automatic renewal charge.
